Most British companies carrying on business in China, otherwise than by agents, are incorporated in llongkong, and, strictly speaking, should have been managed there, but the exigencies of trade compelled the Government to wink at the fugt that the management in the Colony wwa only nominal, whilst the real sext of the company was in China. Jugh an abormal state of things was sure to lead to abuse, and the elas with which under Compumy law, whether that of the United Kingdom or Hongkong, companies can be registered, soon led to the formation of companies, which were British only in name, or at least had very large foreigh interente, whilst an appreciable number of them ware nʊne too zenpectable, It this becɑme necessary to nasist British enterprise by removing doubts and diffi- ouition from the position of existing bona fide British omaganies and to ensure that the facilities offered by Hongkong wêze not abuseć by Lozeigners, including Jhinese, who by incorporating themselves up a Jɛitish company withdrew themselves Ärom their own country's Juriwdiotion without becoming substantially amenable to that of the British Courta".
